Associate Attorney

A nationally recognized boutique law firm in DC seeks an Associate Attorney with transactional experience. Finance, securities experience preferred.

Must be DC barred, active in good standing

No billables. Very regular hours. Hybrid remote. Great work/life balance

Must live commutable to Washington DC

1-3 years experience required

This firm’s practice includes wide range of investment banking (or “underwriting”) firms, banks and affordable housing developers in the area of multifamily tax-exempt and taxable municipal housing bond finance.

REQUIRED:

• Advanced knowledge of Word, Excel
• BS or BA, preferably in finance or economics, JD and DC barred

Duties include:

• revise underwriting and offering documents under the supervision of attorneys.
• negotiate terms of underwriting and bond documents, and legal opinions.
• cash flows and bond statistic calculations.
• provide counsel on transactions to best suit client and borrower needs.
• delivery of bond ratings.
• document execution, review relevant closing transcript documentation for completeness and accuracy.
• file all applicable blue sky documentation.

Responsibilities include:

Advise investment banking clients on federal tax, securities, municipal bond and other legal aspects of the financings.

Advise clients on financial product design, cash flow analysis and other financial aspects of their businesses.

Prepare disclosure documents used by underwriter clients in the sale of the bonds, other legal documents relating to the offering and sale of the bonds.

Utilize Excel and customized software in the structuring and preparation of cash flow analyses for bond financings
