*DIRECT-HIRE* Corporate Paralegal

Contemporary Staffing Solutions is seeking a Corporate Paralegal to join our client in Miami, FL! This role will primarily involve handling general corporate paralegal work for our client’s corporate department, supporting various corporate transactions and initiatives.

Responsibilities:

• Form, merge, and dissolve entities as required, ensuring compliance with all relevant regulations and guidelines.
• Prepare documents for filing with Departments of State and other jurisdictions, collaborating with external agents for out-of-state filings and diligently following up on submissions.
• Assist in corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity, by preparing necessary documentation and providing logistical support.
• Prepare stock certificates and revise organizational charts as needed.
• Maintain comprehensive closing checklists and documentation for corporate transactions, ensuring accuracy and completeness.
• Retrieve public records and conduct UCC and lien searches as required for due diligence purposes.
• Prepare and file UCC Financing statements, adhering to relevant legal requirements and deadlines.
• Conduct research on UCC and laws governing business organizations, staying updated on regulatory changes and industry trends.
• Coordinate document retrieval from government agencies, review corporate public records, and draft analyses as necessary.
• Maintain corporate minute books, ensuring all records are accurate, up-to-date, and readily accessible.

Qualifications:

• Bachelor's degree and/or Paralegal Certificate preferred.
• 3 to 5 years of experience in corporate and transactional law, preferably in a law firm setting.
• Proficiency in legal research, document preparation, and filing procedures.
• Strong organizational skills with the ability to manage multiple tasks simultaneously in a deadline-driven environment.
• Excellent written and verbal communication skills.
• Detail-oriented with a commitment to accuracy and quality.
• Ability to work effectively both independently and collaboratively within a team.
• Proficiency in Microsoft Office Suite and legal software applications.
